Term and Conditions
Design Plus – Standard Terms of Service
1. General
These Terms and Conditions apply to all quotations, offers, and agreements for the manufacture and supply of products by Design Plus to the Buyer. By placing an order, the Buyer agrees to be bound by these terms.
2. Order Placement & Samples

Custom Orders: All orders are manufactured based on the Buyer’s specific designs, tech packs, or approved samples.
- Sample Policy: We offer free-of-cost samples to valued clients to ensure satisfaction before bulk production (pre-production samples). However, shipping costs for samples are generally the responsibility of the Buyer unless otherwise agreed.

Approval: Production will only commence after the Buyer provides written approval of the final sample.
3. Pricing, Payments, and Financial Terms
3.1 Price Quotations

Currency: All quotes are provided in US Dollars (USD), Euros (EUR), or British Pounds (GBP) unless otherwise specified.

Price Basis: Standard pricing is offered on an FOB (Free On Board) basis from Sialkot. We can also provide CIF (Cost, Insurance, and Freight) or DDP (Delivered Duty Paid) quotes upon request to include logistics and duties in the final cost.

Validity: Quotations are valid for 30 calendar days. Due to fluctuations in raw material costs (e.g., cotton, polyester) and international shipping rates, prices are subject to renegotiation after this period.
3.2 Accepted Payment Methods
To accommodate international business standards, Design Plus accepts the following payment channels:

Bank Wire Transfer (T/T): The preferred method for bulk orders. Typically involves a deposit to initiate production and a final balance before shipment.

Documentary Letter of Credit (L/C): Accepted for high-value contract orders (typically above $25,000 USD). We accept Irrevocable L/C at Sight to ensure security for both parties.

Online/Digital Payments: For sample orders or small trial runs, we accept Western Union, MoneyGram, or secure Online Credit Card processing via third-party gateways (subject to a processing fee).

Escrow Services: For new clients, we are open to using verified registered trade escrow services to build mutual trust during the first transaction.
3.3 Deposit and Milestone Payments

Standard Terms: A 70% advance deposit is required to begin the procurement of raw materials and scheduling. The remaining 30% balance is payable upon completion of production and inspection, prior to the release of the Bill of Lading (B/L).

Bulk Contract Discounts: Clients with annual contracts or high-volume recurring orders may be eligible for staggered payment terms or “Net 30” arrangements after a successful one-year credit history with the Company.
3.4 Taxes, Duties, and Surcharges

Import Obligations: The Buyer is responsible for all import duties, taxes, and customs clearance fees in the destination country.

Design Modifications: Significant changes to the design or “Tech Pack” after production has started may incur additional surcharges.

Urgent Orders: “Rush Orders” (requested outside of standard lead times) are subject to a 15–20% Priority Surcharge to cover overtime labor and expedited material sourcing.
3.5 Late Payment Policy

Failure to pay the final balance within 10 days of the “Ready to Ship” notification may result in storage fees or a delay in the delivery schedule. Design Plus reserves the right to withhold shipment until all outstanding balances are cleared.
4. Production & Quality Assurance

Traceability: Operating under ISO-9001 elements, we maintain total traceability of every product from the cutting department to final packing.

Manufacturing Defects: Design Plus guarantees the quality of its craftsmanship. We are liable for any genuine manufacturing defects reported within 7 days of delivery.

Variations: Small variations in color shades or fabric texture may occur due to the nature of textile dyeing and raw material batches.
5. Shipping & Delivery

Timelines: Delivery dates are estimated at the time of order. While we strive for 100% on-time delivery, Design Plus is not responsible for delays caused by shipping carriers, customs inspections, or “Force Majeure” events (e.g., natural disasters, strikes).

Risk: The risk of loss or damage passes to the Buyer once the goods are handed over to the shipping carrier.
6. Intellectual Property & Confidentiality

Client Designs: Your designs, logos, and artwork are your property. We pledge to maintain strict confidentiality and will not share or reproduce your designs for third parties.

Company Rights: All content on designplus.com.pk is the property of Design Plus.
7. Returns & Claims

Because products are custom-made to your specifications, we cannot accept returns for “change of mind.”

Claims for shortages or damaged goods must be filed in writing with supporting photographic and video evidence within 36 hours of receiving the shipment.

Governing Law & Amicable Dispute Resolution
8.1 Our Relationship-First Philosophy
At Design Plus, we view our clients as long-term partners rather than one-time buyers. We recognize that in custom manufacturing, minor misunderstandings can occur. Our soft policy is to prioritize open communication and mutual compromise over formal legal proceedings.
8.2 Step-by-Step Resolution Process
In the event of a disagreement regarding quality, timelines, or payments, the following steps shall be taken before any formal action:

Direct Consultation: Both parties agree to notify the other of the issue in writing and schedule a “Good Faith” meeting (via call or video) within 7 working days.

Internal Review: Design Plus will conduct a transparent internal audit of the production logs and QC (Quality Control) reports and share the findings with the Buyer to find a factual middle ground.

Amicable Settlement: We strive to resolve 100% of disputes through corrective actions, such as replacement of goods, credit notes for future orders, or partial refunds, as mutually agreed upon.
8.3 Formal Mediation
If a resolution cannot be reached through direct talk within 30 days, both parties agree to explore Mediation or Alternative Dispute Resolution (ADR). This is a less aggressive, faster, and more private way to settle issues than going to court.
8.4 Governing Jurisdiction

Primary Law: This agreement remains governed by the laws of the Islamic Republic of Pakistan.

Legal Forum: Only if all efforts fail, the courts of Sialkot, Pakistan, shall have the exclusive jurisdiction to settle the matter. However, it is our primary goal to ensure that this stage is never reached.
